2. Services Provided

AMBS NETWORK LTD offers a range of digital marketing services including but not limited to:

Search Engine Optimization (SEO)
Social Media Management and Advertising
Pay-Per-Click (PPC) Campaign Management
Content Marketing and Copywriting
Email Marketing and Automation
Website Design and Development
Brand Strategy and Consulting

Specific deliverables, timelines, and pricing will be outlined in a separate signed agreement, proposal, or invoice provided to you before work commences.

3. Client Responsibilities

As a client of AMBS NETWORK LTD, you agree to:

Provide accurate, complete, and lawful information, materials, and access required for us to perform our services
Ensure you have all necessary rights, licenses, and permissions for any content you provide to us
Respond to our requests for feedback, approval, or information within reasonable timeframes
Comply with all applicable local, national, and international laws regarding your business and our services
Not use our services for any illegal, harmful, or fraudulent activities

4. Payment Terms

All fees for our services are due as stated in your invoice, proposal, or service agreement. Payment terms are typically 50% upfront and 50% upon completion, unless otherwise agreed in writing.

Late payments may result in:

Suspension or delay of active campaigns or projects
Late fees of 5% per month on overdue balances
Collection costs and legal fees if necessary

All prices are quoted in Nigerian Naira (NGN) unless otherwise specified. International clients may be invoiced in USD.

5. Refund and Cancellation Policy

Digital marketing services are generally non-refundable once work has commenced, as we invest time and resources into your campaign immediately. However:

Monthly subscription services may be cancelled with 30 days' written notice
Any prepaid but unused ad spend (e.g., Google Ads budget) may be refunded at our discretion
Setup fees and creative development fees are non-refundable
Refund requests will be reviewed on a case-by-case basis

6. Intellectual Property Rights

Our Property: All strategies, reports, methodologies, code, creative concepts, and proprietary processes developed by AMBS NETWORK LTD remain our exclusive intellectual property, even after project completion.

Your Property: You retain full ownership of your brand assets, logos, images, and content. Upon full payment, final deliverables specifically created for you (e.g., designed graphics, written articles, developed websites) become your property for your use.

Portfolio Use: We reserve the right to showcase work completed for you in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

7. Limitation of Liability

AMBS NETWORK LTD makes no guarantees regarding specific results, including but not limited to: #1 search engine rankings, specific traffic volumes, exact conversion rates, or fixed return on investment (ROI).

To the maximum extent permitted by law, our total liability to you for any claims arising from our services shall not exceed the total amount paid by you to AMBS NETWORK LTD in the three (3) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.

8. Indemnification

You agree to indemnify, defend, and hold harmless AMBS NETWORK LTD, its directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from:

Your breach of these Terms of Service
Your violation of any law or third-party rights
Any content or materials you provide to us
Your use of our services in a manner not authorized by these terms

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our engagement. This includes business strategies, financial data, login credentials, and unpublished campaign data. This obligation survives termination of our agreement.

10. Third-Party Tools and Platforms

Our services may involve the use of third-party tools such as Google Ads, Facebook Business Manager, Meta Ads Manager, SEMrush, HubSpot, and others. You acknowledge that these third-party platforms have their own terms of service, and AMBS NETWORK LTD is not responsible for their uptime, errors, or policy changes that may affect your campaigns.

11. Termination

Either party may terminate a service agreement with 30 days' written notice. AMBS NETWORK LTD reserves the right to terminate services immediately if:

You breach any material term of this agreement
You fail to make timely payments
You engage in fraudulent, illegal, or harmful activities

12. Governing Law and Dispute Resolution

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Abuja, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The cost of arbitration shall be shared equally unless otherwise decided by the arbitrator.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time without prior individual notice. Changes will be effective immediately upon posting to this page. Your continued use of our website or services after any changes constitutes your acceptance of the new terms. We encourage you to review this page periodically.

14. Entire Agreement

These Terms of Service, together with any signed proposal, invoice, or service agreement, constitute the entire agreement between you and AMBS NETWORK LTD regarding your use of our website and services. They supersede any prior agreements, communications, or representations, whether written or oral.
